These General Terms of Use (the “T&Cs”) are published by INTELLIGENCE + (“HeyTeam”), a French Joint Stock Company; share capital: €40,570.20; registered in Paris, France under no. 820 551 778; registered address: 10 Avenue Kléber, 75116 Paris, France.

HeyTeam owns and publishes the HeyTeam application (the ”Application”).

The Users must declare that they have read and accepted these T&Cs prior to using the Application. Should a User disagree with one or more of the provisions of these T&Cs, they are hereby requested not to use the Application. 

These T&Cs lay down all the terms and conditions under which HeyTeam enables the users (the “Users”) to use the Application for business purposes within their enterprise and to use the various onboarding services accessible via the Application (the “Services”).

The Users should consult the detailed descriptions provided by the Application for more details about the services on offer to the Users via the Application. 

Prior to using the Application, the Users should ensure that they have the technical and IT resources required to enable them to use the Application, by ascertaining in particular that their hardware and software is in good condition, is properly configured and does not contain any viruses.

HeyTeam implements all the measures required to ensure that the Users can access the Application, under optimal conditions, around the clock, 7 days a week. However, it hereby disclaims liability in case of unavailability of the Application caused by a breakdown of the Internet, bugs or operating errors that make it impossible to access the Application. Access to the Application may also be interrupted temporarily owing to maintenance operations.

Should the Users find any malfunction in the Application, HeyTeam shall do everything in its power to implement a remedial solution or to bypass the problem within a reasonable timescale following receipt of a notification from the Users.

HeyTeam hereby disclaims liability for any unavailability of the Application due to the acts of a third party that are beyond its control.

The Users shall be responsible for maintaining the confidentiality and the security of the identifiers that they use to sign in to the Application. The Users must immediately inform HeyTeam about any unauthorised use of their identifiers. HeyTeam shall not be liable for any loss or damage arising from a demonstrated failure or negligence of the Users to protect their identifiers.

The Users undertake to comply with all of the provisions of these T&Cs.

The Users agree only to use the Application for their personal purposes or for the purposes of their business activity, in keeping with these T&Cs. The Users shall refrain:

• from using the Application in an illegal way, for any illegal purpose or in any way that is incompatible with these T&Cs;
• from opening more than one User account or from opening an account using the identity of a third party;
• from disclosing any comments or from offering any services that run counter to the public interest and to public morals (such as apologia for crimes against humanity, incitement to racial hatred, child pornography, etc.);
• from selling, copying, reproducing, renting, lending, distributing, transferring or granting a sublicense over all or part of the content of the Application, or from decompiling, extracting, disassembling, modifying, displaying in a form that is legible by the Users, attempting to uncover its source code or using any software that activates or comprises all or part of the Application;
• from attempting to gain unauthorised access to the computer system of the Application or from engaging in any activity that disrupts, reduces the quality or interferes with the performances or deprecates the functionalities of the Application;
• from using the Application for wrongful purposes by deliberately introducing into it viruses or any other malicious program or trying to access the Application in an unauthorised manner;
• from infringing the intellectual property rights of HeyTeam.

If, for any reason, HeyTeam considers that a User is not complying with these T&Cs, HeyTeam may at any point in time, and at its entire discretion, bar that User from accessing the Application and take all requisite measures, including any civil or criminal legal action, against the User involved.

As part of the provision of access to the Application, HeyTeam merely acts in the capacity of a technical service provider and shall not be liable for the use or operation of the Application by the Users or by anyone else who might be using the Users’ identifiers.

HeyTeam does everything in its power to guarantee uninterrupted access to the Application but shall not under any circumstance be liable if the Users cannot access the Application due to the unavailability of the Application owing to maintenance operations, a breakdown of the Internet network, or for any other reason beyond its control.

Finally, HeyTeam disclaims liability for the non-performance of any of its contractual obligations owing to the occurrence of circumstances of force majeure. 

The Users are hereby informed that HeyTeam processes their personal data in accordance with the applicable European data protection regulations (“GDPR”). 

The processing of personal data by HeyTeam as well as the Users’ rights arising from the GDPR are more extensively described in HeyTeam’s privacy policy . 

The Application may incorporate links to third party web sites. The presence of these links to third party sites do not imply any endorsement of these third party sites by HeyTeam. HeyTeam has no control over the information, products and/or services offered by third parties on the abovementioned sites and therefore disclaims liability for same.

Finally, HeyTeam disclaims liability for any gathering and transmission of personal data, installation of cookies or other process designed to achieve the same purposes, performed by these third party sites upon being accessed the users of these sites.

The Application and all its elements are protected by copyright, trademark law, the rules governing drawings and models and any and all other intellectual property rights. All of these rights are reserved for the world as a whole.

No title nor any other right over any element or software shall be obtained by downloading or copying elements of the Application. The Users are strictly barred from reproducing (except for their personal, non-commercial use), publishing, editing, transmitting, distributing, modifying, deleting this Application and the software elements that it contains, or from modifying or performing any work on these protected elements.

The name and the trademark of HeyTeam, the logos, drawings and models, the fonts, figurative trademarks, and all the signs depicted in the Application are and shall remain the exclusive property of HeyTeam. The Users are strictly prohibited from using the company names, trademarks and distinctive signs belonging to HeyTeam, save with the prior, express authorisation of HeyTeam.

The content provided or created by the Users in the course of their use of the Application shall remain their property and shall remain under their sole responsibility. The Users nevertheless grant HeyTeam a right to use any content that they publish via the Application for as long as they are registered with the Application, and for the world as a whole. This right to use the Users’ content shall comprise in particular the right for HeyTeam to reproduce, show, adapt, translate, digitise, use this content for the purposes of the Services or sub-license it, on all communication media.

The registered Users hereby authorise HeyTeam to modify their content in order to make it compatible with the technical and graphical constraints of the Application and/or the formats and communication media of HeyTeam. 

The Users hereby warrant that the content that they publish and that shall be accessible via the Application does not infringe the rights of any third parties, and that they are authorised to reproduce it and/or to disseminate it to members of the public over the Internet. The Users guarantee HeyTeam in this respect against any claims, claims of ownership and legal or extrajudicial actions concerning the abovementioned content, and may be held accountable to HeyTeam for any costs and losses borne by HeyTeam as a result of infringements of third party rights by the Users.

For any information, details or to raise any claim, the Users should contact the customer service department of HeyTeam as a priority, in order to enable the latter to try to find a solution to the problem.

The Users acknowledge however that HeyTeam can only handle claims linked to the use of the Application.

Should any dispute arise in connection with the interpretation and/or the performance of these T&Cs or in connection with these T&Cs themselves, the Users may opt to bring their dispute with HeyTeam to contractual mediation or any other alternative mode of settlement of disputes.

The Users are advised to access the European consumer disputes settlement platform implemented by the European Commission at the following address: https://webgate.ec.europa.eu/odr/. This lists all of the approved dispute settlement bodies in Europe.

Should this mediation process fail or should the Users wish to bring their dispute before a court, it shall be settled by the courts that have jurisdiction.
